This lunch and learn will guide you through the key considerations when setting up your business and help you understand the differences between common entity types.

We'll cover the fundamentals of business formation, including sole proprietorships, partnerships, limited liability companies (LLCs), S corporations, and C corporations. You'll learn about the legal and tax implications of each structure, liability protection considerations, and how your choice impacts day-to-day operations, taxation, and long-term growth.

Whether you're launching a startup, formalizing a side business, or considering restructuring an existing venture, this session will provide practical insights to help you make an informed decision. We'll discuss factors such as ownership flexibility, administrative requirements, self-employment taxes, and how different structures align with various business goals.

About our expert: 

Erik Velapoldi is a senior legal leader with 30 years of experience as outside and inside counsel. He provides fractional general counsel services to companies as well as consulting to in-house legal teams on substantive and operational matters. He also advises companies and individuals on a broad range of legal matters, ranging from strategic transactions, acquisitions and divestitures, equity and debt investments, commercial contracting, licensing, corporate governance, compliance, executive compensation, corporate formation, internal investigations and other general corporate matters. He has particular experience in the life sciences industry.

Erik joined Mosaic from Terumo BCT, Inc., a Colorado-based global medical technology company. There, he led strategic transactions such as acquisitions and divestitures, strategic alliances, and long term development and supply arrangements. He built and managed a global compliance program, constructed and mentored a global legal team of a dozen attorneys and advised senior executives on critical risks and opportunities affecting the business. Prior to Terumo, Erik was a partner at Morrison & Foerster LLP, where as part of Northern Virginia’s leading emerging company practice he advised many startup, emerging growth and established companies on corporate transactions, venture capital and securities law matters. Erik is admitted to practice in the District of Columbia, Virginia and Colorado.  He lives in Colorado with his wife Laura, their two children and one dog. He enjoys skiing, fly fishing, hiking and playing the Hammond B3, and he is fluent in Norwegian.
